1. Who We Are

These Terms of Service (the "Terms") are issued by XPay, a company incorporated under the laws of the Arab Republic of Egypt. XPay is licensed and supervised by the Central Bank of Egypt ("CBE").

2. Scope of These Terms

These Terms govern your access to and use of the XPay website and platform (the "Platform").

Payment services provided to merchants are governed by the merchant agreement signed with XPay (the "Merchant Agreement"), which shall prevail over these Terms in the event of any conflict.

3. Acceptance and Eligibility

By using the Platform, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you act on behalf of a company, you confirm you are authorized to bind it. If you do not agree, do not use the Platform.

4. Use of the Platform

XPay grants you a limited, non-exclusive, revocable license to use the Platform for your legitimate business purposes. You must not:

  • Use the Platform for any unlawful purpose;
  • Interfere with its security or proper functioning, or attempt to gain unauthorized access;
  • Reverse engineer any software forming part of the Platform, or copy, mirror, or resell access to it;
  • Access the Platform through automated means (including scraping) without XPay's prior written consent;
  • Provide false or misleading information to XPay.

5. Intellectual Property

The Platform and all content, software, logos, and trademarks made available through it are owned by XPay or its licensors. No rights are granted to you beyond the limited license in these Terms.

6. Suspension

XPay may suspend or terminate your access to the Platform in the event of a breach of these Terms, a suspected security risk or unlawful activity, or where required by law or by a competent authority, including the CBE.

7. Disclaimer and Limitation of Liability

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, XPay shall not be liable for any indirect or consequential losses, or loss of profits or business, arising from the use of, or inability to use, the Platform. This Section does not limit XPay's obligations under the Merchant Agreement.

Nothing in these Terms excludes XPay's liability for fraud or gross negligence, or any liability that cannot be excluded under applicable Egyptian law.

8. Amendments

XPay may amend these Terms from time to time. Material amendments will be notified at least 30 days before taking effect, and the "Last Updated" date will be revised accordingly. Continued use of the Platform after that date constitutes acceptance.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the Arab Republic of Egypt. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent Economic Courts in Cairo, where applicable.

10. General and Contact

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms are issued in both Arabic and English. In the event of any discrepancy, conflict, or inconsistency between the Arabic and English versions, the Arabic version shall prevail.
